Terms of use

These Terms of Use govern access to and use of the websites, applications, and services provided by Mendo (collectively, the "Services"). By accessing or using the Services, the user acknowledges having read and accepted these Terms of Use.

They apply when users:

• access Mendo websites and applications (Mendo Web, Desktop, and Internal)

• participate in events, webinars, or surveys,

• contact support,

• apply for job offers

Where the Services are provided to a client organization under a separate commercial agreement (subscription order, master services agreement, or general terms and conditions of sale), that agreement prevails over these Terms of Use in the event of conflict. These Terms of Use do not apply to third-party sites or services accessible via external links, which have their own terms.

Purpose of the Services

Mendo provides a platform designed to support the adoption of generative AI tools within organizations, through job-relevant use cases, personalized learning paths, and usage analytics. The Services are intended for professional use within the context of a client organization, and access is generally granted through that organization.

Access to the Services

Account creation and access

Access to certain Services requires the creation of a user account. The user undertakes to provide accurate information and to keep it up to date. Account access is personal and may not be shared. The user is responsible for maintaining the confidentiality of their access credentials and for all activity carried out under their account.

Eligibility

The Services are intended for professional users acting within the scope of their organization. Where access is provided by an employer or client, the user must comply with that organization's internal policies in addition to these Terms of Use.

Availability

Mendo makes reasonable efforts to ensure the availability and proper functioning of the Services. Access may nevertheless be temporarily suspended for maintenance, updates, security reasons, or for any event beyond Mendo's reasonable control. Mendo will use reasonable efforts to limit the impact of any such interruption.

Acceptable use

When using the Services, the user undertakes to:

• use the Services in compliance with applicable laws and regulations

• not attempt to gain unauthorized access to the Services, accounts, or underlying infrastructure

• not disrupt, overload, or impair the integrity, security, or performance of the Services

• not reproduce, copy, resell, or exploit the Services or their content outside the scope authorized by these Terms of Use or any applicable commercial agreement

• not use the Services to transmit unlawful, harmful, or infringing content, or to engage in any fraudulent or abusive activity.

Mendo reserves the right to suspend or restrict access in the event of a breach of these obligations, without prejudice to any other remedy available.

Intellectual property

The Services, including their software, content, structure, design, trademarks, logos, and documentation, are protected by intellectual property rights and remain the exclusive property of Mendo or its licensors.

Subject to compliance with these Terms of Use and any applicable commercial agreement, Mendo grants the user a personal, non-exclusive, non-transferable, and revocable right to use the Services for the duration of their access and solely for their intended purpose. No transfer or assignment of intellectual property rights is granted to the user.

The user retains ownership of the content they provide. The user grants Mendo the rights necessary to host and process such content strictly for the purpose of providing the Services, in accordance with the Privacy Policy.

Use of generative AI features

Certain Services rely on or interact with third-party generative AI tools. The user acknowledges that AI-generated outputs may be inaccurate, incomplete, or unsuitable for a given purpose, and that such outputs must be reviewed before being relied upon. The user remains responsible for the use made of any output and for compliance with their organization's internal policies regarding AI use and data handling.

Personal data

The processing of personal data in connection with the Services is described in the Privacy Policy, which forms an integral part of these Terms of Use. Data processed by Mendo is hosted within the European Economic Area (EEA).

Liability

Mendo provides the Services with reasonable care and skill. To the fullest extent permitted by applicable law:

• Mendo is not liable for indirect or consequential damages, including loss of data, loss of profit, or business interruption arising from the use of or inability to use the Services

• Mendo is not responsible for decisions made or actions taken by the user on the basis of AI-generated outputs or content accessed through the Services

• Mendo's liability is limited as set out in any applicable commercial agreement, and in the absence of such agreement, to direct and foreseeable damage.

Nothing in these Terms of Use excludes or limits liability that cannot be excluded or limited under applicable law.

Suspension and termination

Mendo may suspend or terminate access to the Services in the event of a breach of these Terms of Use, of any applicable commercial agreement, or where required for legal, security, or technical reasons.

Upon termination of access, the user's right to use the Services ceases. Data handling following termination is described in the Privacy Policy and, where applicable, in the relevant commercial agreement.

Third-party services and links

The Services may interoperate with or link to third-party tools and platforms (including generative AI providers and hosting or analytics services). The use of such third-party services is governed by their own terms and policies, over which Mendo has no control and for which Mendo accepts no responsibility.

Changes to the Services and to these Terms

Mendo may modify the Services and these Terms of Use to reflect legal, technical, or operational developments. Substantial changes will be notified via our various communication channels. Continued use of the Services after such changes take effect constitutes acceptance of the updated Terms of Use.

Governing law and jurisdiction

These Terms of Use are governed by French law. In the absence of an amicable resolution, any dispute relating to their validity, interpretation, or performance shall be subject to the jurisdiction of the competent French courts, subject to any mandatory provisions applicable to the user.
